For the purposes of this Agreement, the term “Friend Indeed” (also referred to as and used interchangeably with “company,” “we,” “us,” or “our”) shall mean and include its founders, officers, executives, mediators, proprietors, partners, employees, contractors, volunteers, and permitted assigns, and any reference to “Friend Indeed” shall be deemed to refer to all of the foregoing collectively.

By booking a session/s (service) with us or using our website, you confirm that you have read, understood, and agree to be governed by this Terms of Use (Terms) and the Privacy Policy of the company and provide your informed consent for the same.

1. Nature of Services and Disclaimers

You confirm that you understand that:

1. The service is offered strictly to adults aged 18 years or above.

2. The service offered is for emotional support only.

3. This service is not therapy, diagnosis, treatment or psychiatric care and neither a substitute for the same.

4. This is not a helpline for suicide prevention or crisis intervention. You are strongly advised to seek psychological help for the same.

5. Mediators may or may not be licensed therapists and are not authorized to provide medical advice or psychological treatment.

6. You are not entitled to request clinical opinions, therapeutic recommendations, medical diagnosis or crisis treatment.

7. Session details will be documented for safety, internal review and training, and legal compliance purposes. These details will be stored securely and used only in accordance with the “Privacy Policy”.

8. Session will be provided via a videocall and the duration is capped at forty-five minutes. Extensions are not guaranteed.

9. We shall render services solely upon receipt and confirmation of full payment of the applicable fees.

10. This platform does not provide dating, services, marriage, crisis or emergency solutions.

While sessions are designed to provide support and reflective space, we make no warranties, guarantees or representations regarding specific outcomes or improvements to your emotional or mental state. Dissatisfaction with the services shall not constitute grounds for any claim, refund, chargeback, or legal action against Friend Indeed.

2. Terms of Conduct

2.1. Permissible Use and Client Rights

By using our services, you confirm that you are 18 years of age or older, and you acknowledge that Friend Indeed is not responsible for any false representations made regarding age.

As a valued user of our services, you are entitled to:

1. Speak openly and freely about your thoughts, emotions, and experiences.

2. Expect attentive, respectful, compassionate, empathetic and non-judgmental listening in a confidential setting.

3. Use this service as a non-clinical, digital wellness platform for meaningful conversations and emotionally intelligent support to help you gain clarity, emotional grounding and a safe reflective space.

2.2. Prohibited Conduct and Restrictions

To preserve the dignity and safety of all participants, the following actions are strictly prohibited:

1. Use of sexually explicit, obscene, threatening, or inappropriate language or gestures.

2. Sharing any child sexual abuse material or sexually exploitative behavior.

3. Sharing or discussing pornographic material or sexual content.

4. Appearing nude or partially clothed or displaying private body parts on camera.

5. Making intrusive, sexual, or personal inquiries about the mediator.

6. Statements trivializing or exploiting natural disasters, conflicts, deaths, or other tragic events.

7. Joining the session in an intoxicated state.

8. Use of abusive, discriminatory, or derogatory language, including hate speech or slurs.

9. Recording, screenshotting, or otherwise capturing or distributing any portion of the session.

10. Sharing or requesting any personal contact information from the mediator.

11. Any communications with the mediators outside the platform.

12. Impersonation of any other person during sessions.

13. Violation of any Terms outlined in this Terms of Use.

2.3. Consequences of Prohibited Conduct

Any such conduct may result in immediate termination of the session, blacklisting of the user, and may attract criminal or civil legal action under the Indian Cyber Law and other applicable statutes. We shall not be obligated to continue providing our services to you. No refund will be provided for sessions terminated due to client misconduct.

3. Other Terms

3.1. Data Handling

You confirm that you understand that:

1. All data is collected, stored and retained as per the “Privacy Policy”.

2. Your name, email address, age, gender, emergency contact details and other required information provided by you will be shared to your assigned mediator for the purpose of conducting the session.

3. You may request deletion of your records and information; however, your request will be reviewed and denied if the information may be required for legal compliance or defense.

4. All session records and related personal data will be securely stored and retained for a period of 3 years, unless a longer period is required by applicable law or legal proceedings.

We are committed to confidentiality. However, you acknowledge that disclosures may be made when:

1. Required by law, government authority, or court order.

2. Necessary to prevent imminent harm to yourself or others.

3. Relevant for fulfilling the company’s duty to report certain acts.

4. Thirds party service providers who work with us for maintenance and other operations.

3.2. Limitation of Liability and Indemnification Terms

You confirm that you understand that:

1. We are not legally obligated to intervene in crises nor act as a clinical provider.

2. We are not responsible for providing psychotherapy, treatment, or ongoing mental health care.

3. In the event of a perceived crisis or imminent threat, the mediator, at his/her sole discretion may escalate the case internally, and our obligation will end upon documentation and referral to a mental health professional or the emergency contact.

4. You agree to indemnify and hold harmless Friend Indeed from all claims, liabilities, damages, losses, costs, or expenses arising from all your actions or omissions, including negligence, reckless conduct, or attempts at self‑harm or harm to others.

5. We are indemnified and held harmless against all claims, liabilities, damages, losses, costs, or expenses, from any cause whatsoever, including but not limited to any adverse outcomes after escalation, regardless of the nature or source of such claims.

6. You are solely responsible for ensuring that you have a stable internet connection, functioning device, and necessary software for accessing sessions. Friend Indeed shall not be liable for disruptions, poor quality, or inability to access sessions due to your technical issues.

7. We shall not be liable for any emotional distress, offence, or hurt sentiments that may arise from conversations with mediators, group sessions, or any content made available on the website. By availing the Service, you expressly waive any claims against us in this regard.

8. To the maximum extent permitted by law, the company’s total liability for any claims arising out of or in connection with the services shall not exceed the total fees paid by you for the specific session in question.

9. You indemnify, defend, and hold harmless Friend Indeed from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the services, your breach of these Terms, or any disclosure made pursuant to Indian law or ethical obligation.

3.3. Clinical Management Post-Escalation

You confirm that you understand that:

1. If a session involves a high-risk suicidal ideation, imminent risk, or any other urgent circumstance where the mediator deems that you may benefit from a higher level of care, we may, at our sole discretion, recommend you to a qualified mental health professional.

2. Beyond this, the company is not liable or responsible for any further medical, emotional, or psychological care.

3. Any continued engagement with a qualified mental health professional or other professionals shall be voluntary and at your discretion, including all associated costs and responsibilities.

3.4. Reinstatement Following Crisis Disclosure

You confirm that you understand that:

1. We reserve the right to deny future services to any client who has previously presented a risk or undergone escalation.

2. There shall be no obligation on the part of the company to resume services, regardless of previous engagement history or client request.

3. If reinstatement of services is considered, a psychological fitness letter from a licensed mental health professional confirming your stability before re-engagement, may be required.

3.5. Client Liability for Legal Escalation

In the event your disclosure during a session necessitates legal escalation, as determined solely by the company or any other third party, you agree to bear full personal responsibility for all resulting consequences, including any criminal or civil liability and indemnify us from all legal and financial costs incurred in complying with legal obligations, including legal fees, penalties, or administrative expenses. We may suspend or terminate services being offered to you, without any justification, following such disclosures. In such cases, no refunds will be issued for the current session or any upcoming prepaid sessions, including those purchased as part of a package or subscription.

You confirm and agree that we are under no obligation to withhold information that legally or ethically requires disclosure, and that all such actions are taken in accordance with the Indian law and in the interest of public safety and it shall not constitute a breach of confidentiality under this agreement and that you will bear all costs in relation to all resulting consequences, legal or otherwise.

3.6. Cooperation with Legal Proceedings

In the event of any legal inquiry, investigation, or proceedings resulting from or involving a session you attended, you agree that we may be required to provide factual information to the law enforcement agencies or our legal representatives. Our cooperation in such proceedings shall not constitute a breach of confidentiality under this agreement.

3.7. Use of Third-Party Platforms

Our services may rely on third-party tools and platforms, including but not limited to, Zoom, Google Applications, TidyCal, Hostinger, Razorpay, or other technology providers. While we take reasonable measures to ensure secure and uninterrupted access, we do not control and are not responsible for any failures, technical issues, data breaches, interruptions, or losses arising from the performance, use, security, or availability of these third-party services. By using our services, you agree that Friend Indeed bears no liability for any damages or consequences resulting from the use of such third-party platforms, and that your engagement with these services is subject to their respective terms and privacy policies.

4. Disclaimers

To the maximum extent permitted by law, Friend Indeed shall not be liable for any loss, damage, injury, or claim arising from your use of our services.

Friend Indeed is not a healthcare provider, not an insurance provider, and not a suicide helpline. Our mediators are instructed not to provide psychological or medical help. Our mediators will not take up the role of psychologists or medical professionals.

The services offered are for non-clinical, conversational emotional support only, and are not a substitute for therapy, diagnosis, treatment, or crisis intervention.

If you have a medical condition, mental health emergency, or suicidal thoughts, you must seek immediate help from a qualified healthcare professional or call the crisis helplines.

Any conversation with mediators represents personal support and not professional advice. Friend Indeed disclaims responsibility for any decision made based on conversations with mediators.

These Terms shall remain in effect until terminated by either you or Friend Indeed.

You may deactivate your account and stop using our services at any time. However, all obligations accrued prior to termination (including payment obligations) shall survive.

5. Refund and Termination

You confirm that you agree that:

1. All purchases are final and non-refundable.

2. In exceptional circumstances rescheduling and partial reimbursements may be considered at our sole discretion as per our “Cancellation and Refund Policy”.

3. If services are suspended or terminated due to violation of this Terms of Use, no refunds will be issued for the current, previous or any unused pre-paid sessions.

6. Force Majeure

Friend Indeed shall not be liable for any delay, disruption, or failure in the provision of services caused by circumstances beyond its reasonable control, including but not limited to acts of God, internet or power outages, equipment failures, technical issues, strikes, government actions, or emergencies.

7. Links

You may share links to Friend Indeed’s platform for personal, non-commercial use, provided it does not suggest endorsement by Friend Indeed.

You may not copy, reproduce, distribute, or use FI’s content, branding, or logos without prior written permission.

Unauthorized use may invite legal action.

8.Severability
If any provision or provisions of these Terms, shall be held to be illegal, invalid, or, unenforceable, the validity, legality, and enforceability of the remaining provisions shall remain in full force and effect.

We may update, modify, or amend these Terms of Use at any time without prior notice. The revised Terms will be effective immediately upon posting on our website/app. Your continued use of our services after such changes shall constitute your acceptance of the revised Terms.

Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in Mangalore (Mangaluru), Karnataka.

You confirm that you have read, understood, and voluntarily agree to all the terms, conditions, policies, and disclosures outlined above, and consent to the nature and scope of services provided.
